The agent will have an option, which may be exercised in whole or in part, up to 48 hours prior to the closing of the offering, to sell up to an additional $1,000,000 of any combination of units and flow-through shares at their offer prices respective (the “agent option”, and with marketed placement, the “placement”). The flow-through shares will be offered using the “qualified investor” and “minimum investment” exemptions set out in 45-106 in Canadian sales jurisdictions. These shares will be subject to a legal restriction period for purchasers residing in Canada ending on the date that is four months and one day after the closing date of the offering.
